Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Lindquist Ventures LLC (DBA Rootword), 4988 East Big Rock Drive, Wasilla, AK 99654 ("Rootword", "we", "us"). By creating an account or using the Rootword website or application (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

Rootword is a reputation management tool for local service businesses. It helps you request reviews from your customers by email and SMS, collect and monitor reviews from connected platforms such as Google Business Profile, draft replies with AI assistance, and post replies to your reviews.

You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for the accuracy of your account information, for safeguarding your login credentials, and for all activity that occurs under your account. Notify us promptly at founder@rootword.co of any unauthorized use.

• Rootword costs $49 per month, or $490 per year.
• New accounts include a 14-day free trial. No charge occurs until the trial ends.
• Subscriptions renew automatically at the end of each billing period until cancelled.
• You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Fees already paid are non-refundable except where required by law. If you believe you were billed in error, contact founder@rootword.co within 30 days and we will review the charge in good faith.
• Prices may change with at least 30 days' notice before your next renewal.

You agree that you will not, and will not use Rootword to:

• Solicit, write, buy, or incentivize fake, biased, or misleading reviews, or selectively suppress negative reviews in a deceptive manner.
• Violate Google's review policies or the policies of any other review platform you connect.
• Violate the FTC's rules and guidance on endorsements and testimonials, including requirements around honest and unbiased consumer reviews.
• Send email or SMS through Rootword to any customer without the proper consent required by applicable law, including the TCPA for text messages and CAN-SPAM for email. You are the sender of record for those messages and are responsible for maintaining records of consent and honoring opt-outs.
• Upload unlawful content, infringe others' rights, or attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.

We may suspend or terminate accounts that we reasonably believe violate this section.

You retain ownership of the content and data you submit to Rootword, including customer contact lists, business information, and review replies ("User Content"). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display User Content solely as needed to operate and support the Service on your behalf. You represent that you have the rights and consents necessary to provide the User Content to us.

Rootword relies on third-party services including Google, Stripe, Twilio, and Resend. Your use of those services through Rootword is also subject to their own terms and policies. In particular, features that connect to your Google Business Profile are additionally governed by Google's terms of service and Google Business Profile policies. We are not responsible for the availability, accuracy, or actions of third-party services.

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may modify or discontinue features. Rootword makes no guarantee of any particular number of reviews, star rating, review volume, search ranking, traffic, or business outcome. Results depend on factors outside our control, including your customers and third-party platforms.

The Service, including its software, design, branding, and content (excluding User Content), is owned by Lindquist Ventures LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable right to use the Service during your subscription. You may not copy, resell, or create derivative works from the Service without our written permission.

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk. Upon termination, your right to use the Service ends and we will delete or return your data in accordance with our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI GENERATED CONTENT MAY BE INACCURATE AND SHOULD BE REVIEWED BEFORE PUBLICATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOTWORD AND LINDQUIST VENTURES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Lindquist Ventures LLC and its officers, members, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your messaging to customers, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Alaska, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in the State of Alaska, and you consent to their personal jurisdiction.

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, notify account holders by email. Continued use of the Service after an update constitutes acceptance of the revised Terms.
